1 · Definitions
- "CallMeIE", "we", "us", "our": Adam Vaughan trading as CallMeIE Technologies, an Irish VAT-registered sole trader operating in Limerick, Ireland. Upon Ltd incorporation, may assign and novate to CallMeIE Technologies Ltd per §11.
- "Customer", "you", "your": the legal entity that signs an Order Form for one of our products.
- "Service" / "Services": the AI Receptionist, Document Ops, and/or AI-First Websites products as scoped in your Order Form.
- "Order Form": the per-engagement document specifying the product tier, pricing, retention windows, and any custom terms. The Order Form takes precedence over these Terms in any conflict.
- "DPA": the Data Processing Agreement at /legal/dpa.html, signed alongside the Order Form for any product that processes personal data.
2 · Service description — per product
2.1 · AI Receptionist
Vapi-fronted voice agent answering inbound calls on Twilio numbers, with optional Google Calendar booking and SMS reply on your behalf. Tier-dependent capacity limits (call minutes, calendar bookings, SMS sends) are itemised in your Order Form. Demo Squad on +353 61 788 120 is for prospect demos only.
2.2 · Document Ops
OCR + extraction pipeline for accounting source documents (invoices, receipts, credit notes, statements). Critical fields (vendor, total, VAT, date) extracted with a 0.98 confidence gate; sub-gate fields bounce back to you with a one-line reason rather than silently exporting. Tier-dependent monthly document caps + per-engagement Bespoke options. Pilots are one-off (Entry €500 / Standard €1,500). Subscriptions are month-to-month (Auto €99 / Auto Plus €249 / Rescue + Export €499 / Bespoke from €1,500).
2.3 · AI-First Websites
Hosted client websites with privacy-friendly self-hosted analytics (Umami) and form forwarding. Per-engagement pricing during the build phase + monthly hosting on shared Hetzner infrastructure. Custom domain hand-off (Cloudflare DNS) included. Talk to us before signing if you need PCI-scope (Stripe checkout) or HIPAA-scope (medical) — these require additional terms.
3 · Account + access
- Document Ops portal access via magic-link authentication at
portal.callmeie.ie. No password reuse risk; tokens expire on use. - You are responsible for keeping the Order Form contact email accessible and current.
- You must not share magic-link tokens. Any compromise must be reported to hello@callmeie.ie within 24 hours of detection.
- We reserve the right to suspend access for non-payment, breach of §5 acceptable use, or evidenced security risk to other tenants.
4 · Pricing + billing
- Prices are listed at callmeie.ie/docs/#pricing and confirmed on your Order Form. Irish VAT applied at checkout where applicable.
- Billing via Stripe Payments Europe Ltd. Cards charged on the subscription anniversary date. Failed payments retry 3× over 7 days before suspension.
- Pilots are one-off charges and do not auto-renew.
- Subscriptions are month-to-month, no minimum term, no lock-in. Cancel anytime via the Stripe customer portal.
- Price changes: 30 days' notice to Order Form contact; existing subscription continues at old price until the next anniversary unless the Order Form specifies otherwise.
5 · Acceptable use
You must not use the Services to:
- Process documents or call data that you do not have the legal right to process (Article 6 GDPR lawful basis violation).
- Submit content that infringes third-party intellectual property.
- Probe, scan, or test the security of the Services without prior written consent.
- Resell the Services without a written reseller agreement.
- Submit malware, phishing payloads, or content designed to harm other tenants or end-users.
- Use the Services in any manner that violates Irish law or applicable EU regulation.
Breach of §5 is a material breach and may result in immediate suspension. We will give you written notice + 7 days to cure where the breach is curable.
6 · Intellectual property + licence
- Your data is yours. You retain all ownership of: documents you upload (Document Ops), call recordings + transcripts (AI Receptionist), website content + analytics (AI-First Websites), and any extracted / derived outputs.
- Our software is ours. The Services' code, models, configurations, and proprietary processes are owned by CallMeIE Technologies. We grant you a non-exclusive, non-transferable, revocable licence to use the Services per the Order Form for the duration of your subscription.
- Open-source components. The Document Ops synth corpus and benchmark fixtures are MIT-licensed and published at github.com/scruge1/proof-fixtures. You can audit, fork, or contribute.
- Your feedback. If you give us product feedback or feature suggestions, we may incorporate them without owing you a fee or attribution. Your operational data (per-tenant corrections) is NEVER pooled across customers without your written consent.
7 · Cancellation + data export
- You may cancel a monthly subscription at any time from the Stripe customer portal. Cancellation is effective at the end of the current billing period; no pro-rata refunds.
- Pilots are one-off, do not auto-renew, and end automatically after delivery.
- On cancellation we deliver, within 7 calendar days: a full CSV export of all extracted rows / call data / form submissions + a ZIP of original-form documents (where applicable).
- Within 30 days of cancellation (or sooner on written request): we permanently delete your data from primary storage + backups. Statutory retention exceptions (e.g. VATCA s.84(3) 7-year original-form retention on accounting documents) take precedence — these documents are held for the statutory minimum then deleted.
- You can request data export at any time during the subscription, not only at cancellation.
8 · Liability + indemnity
Per Irish contract law principles, the following caps apply (subject to the Order Form, which may negotiate higher caps for Bespoke engagements):
- Self-serve subscription tiers: our aggregate liability for any claim is capped at the fees you paid us in the 12 months prior to the claim.
- Bespoke engagements: liability cap negotiated per engagement during the scoping call; the Order Form is the binding cap.
- Professional indemnity cover is being arranged before our first paying customer signs an Order Form. Carrier, cover amount, and policy reference will be published in this section once the policy is in force; available on written request thereafter as part of the full DPA pack.
- You indemnify us against any claim arising from your breach of §5 (acceptable use) or §6 (intellectual property) or any data you process through the Services in violation of GDPR Article 6.
Nothing in these Terms limits liability for: (a) death or personal injury caused by negligence, (b) fraud or fraudulent misrepresentation, (c) any other liability that cannot be excluded under Irish law.
9 · Honest disclaimers (what we do NOT promise)
Per our open-page philosophy:
- Document Ops: we do not promise that the 0.98 confidence gate eliminates all extraction error. The gate is a confidence threshold, not a calibrated probability statement, and you remain responsible for spot-checking the CSV before paste. We do not file VAT returns. We do not generate RCTDC certificates. We extract data so you can.
- AI Receptionist: we do not guarantee 100% call answer rate. Vapi + Twilio occasionally fail; the anomaly diagnosis loop will surface these to you within 5 minutes of the failed call. We do not provide voicemail recovery for unanswered calls — that is your phone-system fallback's job.
- AI-First Websites: we do not promise specific Lighthouse scores, search-engine rankings, or conversion rates. Hosting uptime target is 99.5% (~3.6 hours/month maximum scheduled + unscheduled downtime); we do not pay SLA credits — refund-or-cancel is your remedy if uptime drops below the target across any 90-day rolling window.
- Across all products: we do not offer 24/7 phone support. Email response target is one business day; faster paths via the Bespoke engagement scoping call.
10 · Sub-processors + DPA
We use third-party sub-processors itemised in §5 of the Privacy Policy + Schedule of the DPA. Any change triggers 30-day prior written notice with your objection right.
For Document Ops + AI-First Websites: a separate DPA must be signed alongside the Order Form. The DPA covers all 3 products; pick the relevant Schedule(s) per your Order Form.
For AI Receptionist standalone: a DPA is required only if you process EU resident personal data through the Service (which you almost always do — the caller's phone number qualifies). In practice: every Order Form pairs with a signed DPA.
11 · Changes to these terms
- Material changes: 30 days' written notice to your Order Form contact email. Continued use after the notice period is acceptance.
- Non-material changes (typos, grammar, hyperlink updates): published to this page with no notice; the "Last updated" stamp reflects the change.
- Sole-trader → Ltd transition: upon CallMeIE Technologies Ltd CRO incorporation, Adam Vaughan may assign and novate this agreement to the company. You receive written notice within 30 days of incorporation; the company assumes all obligations in writing; you have a 30-day objection-and-cancel right with full data export per §7.
12 · Governing law + disputes
- These Terms are governed by the laws of the Republic of Ireland.
- Disputes will first be addressed by good-faith negotiation between the parties (30-day window).
- If unresolved, disputes will be submitted to the exclusive jurisdiction of the Irish courts.
- Nothing in this section limits your right to file a complaint with the Irish Data Protection Commission per §10 of the Privacy Policy.
